Terms of Service

GiftBeacon is a product of iPal Media LLC. These Terms of Service (“Terms”) govern your access to and use of the GiftBeacon SMS-based gift concierge service (“Service”) operated by iPal Media LLC (“we,” “our,” or “us”), operating as GiftBeacon. Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By texting GiftBeacon, responding to a GiftBeacon message, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy and SMS Terms. If you do not agree to these Terms, do not use the Service. These Terms constitute a binding agreement between you and iPal Media LLC, operating as GiftBeacon.

2. Description of Service

GiftBeacon is an SMS-based AI gift concierge. You interact with the Service by texting a designated phone number. The Service:

• Accepts natural-language text messages describing people, occasions, and budgets.
• Returns personalized gift recommendations, including links to purchase products.
• Stores structured information about people in your life (names, interests, birthdays) to improve future recommendations.
• Sends proactive reminder messages before birthdays and holidays.
• Earns revenue through affiliate commissions on product purchases made via our links.

The Service is provided “as is.” We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Responsibilities

By using the Service, you represent and warrant that:

• You are at least 13 years of age. Users under 18 should use the Service only with parental or guardian consent.
• You are the authorized user of the phone number you use to access the Service, or you have permission from the owner of that number.
• You will provide accurate information to the extent possible. Inaccurate information may result in less useful recommendations.
• You will use the Service for lawful purposes only and in accordance with these Terms.
• You will not use the Service to harass, defraud, or harm others.
• You will not attempt to reverse engineer, scrape, or interfere with the Service.
• You will maintain only one active account per phone number. Multiple accounts are not permitted.

4. Intellectual Property

The GiftBeacon name, logo, service design, recommendation methodology, and all related intellectual property are owned by iPal Media LLC and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any GiftBeacon content without our prior written consent. These Terms do not grant you any license to our intellectual property other than the limited right to use the Service as described herein.

5. Gift Recommendation Disclaimer

Gift recommendations provided by GiftBeacon are suggestions only, generated by AI based on the information you provide. They are not endorsements, guarantees, or warranties regarding the quality, fitness, safety, or suitability of any product or experience.

GiftBeacon is not responsible for the quality, availability, pricing accuracy, or delivery of any product or service recommended through the Service. Purchasing decisions are yours alone. All purchases are made through third-party retailers and are subject to those retailers' own terms, return policies, and warranties.

6. Affiliate Disclosure

GiftBeacon participates in affiliate marketing programs. This means that when you click a product link we provide and make a purchase, GiftBeacon may earn a commission at no additional cost to you. Affiliate relationships do not influence which products we recommend — recommendations are made based solely on relevance to the recipient's interests and your budget. We disclose this practice in the interest of full transparency.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SMS DELIVERY IS SUBJECT TO CARRIER AVAILABILITY AND IS NOT GUARANTEED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IPAL MEDIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF IPAL MEDIA LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL IPAL MEDIA LLC'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU HAVE PAID TO IPAL MEDIA LLC IN THE PAST SIX MONTHS.

9. Indemnification

You agree to indemnify, defend, and hold harmless iPal Media LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Modification of Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify active users via SMS and update the effective date on this page. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Service.

11. Termination

You may stop using the Service at any time by texting STOP. This will immediately cease all outbound messages from GiftBeacon.

We reserve the right to suspend or terminate your access to the Service at any time, without notice, if we believe you have violated these Terms or if your use of the Service poses a risk to other users, our systems, or third parties. Upon termination, your right to use the Service ceases immediately.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of [Governing State], without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be submitted to informal negotiation by contacting us at legal@ipalmedia.com. If informal resolution fails after 30 days, disputes shall be resolved by binding arbitration in accordance with the applicable arbitration rules, and you waive any right to a jury trial or class action.
